Promise Terms
Terms and conditions for making a ticket promise on Promise Tickets.

These Promise Terms ("Terms") govern your use of the Promise Tickets platform ("Platform") operated by Determinant LLC ("Company," "we," "us," or "our") when you make a ticket promise ("Promise") for an event listed on the Platform. By checking the box and completing a Promise, you agree to be bound by these Terms.
1. What a Promise Is
A Promise is a paid commitment to attend a specific event and performance date listed on the Platform. When you make a Promise:
- You authorize the Company to save your payment card through Stripe, our third-party payment processor.
- You agree that your card may be charged the total amount shown (ticket price plus service fee) if the event's minimum ticket threshold is met and the event producer converts the campaign.
- A Promise is not a ticket. It is a financial commitment to the event producer. If the campaign converts and your card is successfully charged, the event producer is obligated to honor your payment as sufficient to allow admission to the event for the number of people corresponding to the number of tickets purchased.
2. The Platform's Role
Promise Tickets is a technology platform that facilitates transactions between event producers ("Producers") and individuals who make Promises ("Patrons"). The Company is not an event producer, venue operator, ticket seller, or co-promoter.
- The Company does not organize, produce, or guarantee any event listed on the Platform.
- The Company does not verify the accuracy of event listings, the identity of Producers, or the suitability of any venue.
- The Company does not guarantee that any event will take place, meet your expectations, or be as described.
- The relationship created by a Promise is between you and the Producer, not between you and the Company.
3. Conversion and When Your Card Is Charged
Your card is not charged when you make a Promise.
3.1 What Conversion Is
Each campaign has a minimum ticket threshold set by the Producer. "Conversion" is when the Producer confirms the event and charges all saved Patron cards at once. Conversion is a manual action taken by the Producer — it is not automatic. Even after the threshold is reached, no cards are charged until the Producer initiates conversion.
3.2 When Your Card Is Charged
Your card is charged only when both of the following occur:
- The campaign reaches its minimum ticket threshold.
- The Producer elects to convert the campaign.
Upon successful charge, you will receive a ticket confirmation email for the number of tickets you promised. The Producer is obligated to honor your payment as admission to the event (see Section 1).
3.3 When Your Card Is NOT Charged
Your card is never charged and your saved payment method is released if any of the following occur:
- The campaign does not reach its threshold by the deadline (the campaign expires).
- The Producer cancels the campaign before converting.
- You cancel your Promise before conversion (see Section 6).
In all of these cases, no money is taken from your account.
4. Your Obligations as a Patron
By making a Promise, you represent and agree that:
- You are at least 18 years of age.
- You are the authorized holder of the payment card you provide.
- You will maintain a valid and chargeable payment method for the duration of the campaign (until the deadline or conversion, whichever comes first).
- The information you provide (including your email address) is accurate.
5. Service Fee
A service fee is added to the ticket price set by the Producer. The fee amount is displayed to you before you complete your Promise. The service fee is non-refundable once charged, except at the sole discretion of the Company.
6. Cancellation Before Conversion
You may cancel your Promise at any time before the campaign is converted. Upon cancellation:
- Your saved payment card is released immediately.
- You will not be charged.
- Cancellation is permanent and cannot be undone.
7. After Conversion
Once a campaign converts and your card is successfully charged:
- The Producer is solely responsible for honoring your payment as admission to the event or issuing a refund if they are unable to deliver the event as described.
- The Company has no obligation to issue refunds, mediate disputes between you and the Producer, or ensure the event takes place.
- Any refund requests must be directed to the Producer. Producers manage refunds through their own Stripe account.
8. Failed Charges
If your card cannot be charged during conversion (due to expiration, insufficient funds, or bank decline):
- Your Promise is marked as failed.
- You will not have a reservation or a right to any ticket issuance or event admission.
- Failed charges are not automatically retried.
9. No Guarantee of Event Delivery
The Company makes no representations or warranties regarding any event listed on the Platform, including but not limited to:
- Whether the event will occur.
- The quality, safety, or legality of the event.
- The accuracy of event descriptions, dates, venues, or other information provided by Producers.
- The Producer's ability or willingness to fulfill their obligations.
You acknowledge that by making a Promise, you are relying on the Producer's representations, not the Company's.
10. Privacy and Data Sharing
When you make a Promise, your email address is shared with the Producer for the purpose of event communication. The Company sends transactional emails related to your Promise (confirmation, charge notification, cancellation, expiration). For details on how we handle your data, see our Privacy Policy.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Company's total liability to you for any claims arising from or related to your use of the Platform or any Promise shall not exceed the service fee amount you paid to the Company.
- The Company is not liable for any acts or omissions of Producers, including failure to deliver an event, event cancellation, or refusal to issue refunds.
- The Company is not liable for any indirect, incidental, special, consequential, or punitive damages.
12. Dispute Resolution
Any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in the State of Georgia. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
This arbitration provision does not prevent you from bringing issues to the attention of federal, state, or local agencies.
13. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
14. Modifications
The Company reserves the right to modify these Terms at any time. Material changes will be communicated via the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.
